SOREX Terms of Use

SOREX is a unified business platform designed to help organizations manage their operations, including:

• Procurement and requisitions
• Inventory and assets
• Human resources and attendance
• Tasks and project management
• Vendor managemen
• Invoicing
• Internal approvals and workflows
• Internal communications
• Meetings and collaboration
• Reporting and business intelligence
• Access control and related business services

The specific features available to you depend on your organization's subscription and assigned user permissions.

Organizations are responsible for creating and managing user accounts within their SOREX environment.

Users must:

• Provide accurate information
• Protect login credentials from unauthorized access
• Not share their accounts or passwords with unauthorized persons.
• Immediately inform SOREX of any unauthorized access
• Use the application for legitimate and authorized business purposes
• Follow their organization's internal privacy and security policies

Users are responsible for activities performed through their accounts unless unauthorized access is properly reported

Each subscribing organization may designate administrators to manage users, departments, permissions, workflows, and system settings.

Organization administrators are responsible for:

• Assigning appropriate user roles.
• Managing access permissions.
• Removing access when employees leave or change roles.
• Maintaining accurate organizational information.
• Ensuring users comply with applicable policies.

SOREX may provide technical support but does not determine the internal access rights of an organization.

You agree not to use the application to:

• Commit or facilitate unlawful activities
• Gain unauthorized access to another user's account or data
• Circumvent security controls
• Upload malware, viruses, or harmful code.
• Attempt to disrupt or damage the platform.
• Misuse another organization's or user's information.
• Send spam or unauthorized communications.
• Impersonate another person or organization.
• Use the platform in a manner that violates applicable laws or regulations.

Techxon Innovation Ltd. may restrict or suspend access where reasonably necessary to protect SOREX, its users, or other organizations.

Organizations retain ownership of the business data they upload, create, or process through SOREX

This may include:

• Employee information
• Financial records
• Invoices
• Purchase and requisition records
• Vendor information
• Documents
• Reports
• Communication recordss
• Project information
• Operational data

By using SOREX, you authorize Techxon Innovation Ltd. to process such data as necessary to provide, maintain, secure, and improve the services.

SOREX may process personal information belonging to employees, customers, vendors, contractors, and other individuals.

Techxon Innovation Ltd. will handle personal information in accordance with its applicable Privacy Policy and applicable data-protection laws

Organizations using SOREX are responsible for ensuring that they have an appropriate legal basis and necessary permissions to provide personal data to the platform.

Users and organizations must maintain the confidentiality of information accessed through SOREX.

Users should not disclose confidential business information, financial information, employee information, passwords, documents, or other restricted information to unauthorized persons

SOREX is designed with security and controlled access in mind. Depending on the services selected, security controls may include:

• Role-based access control
• User permissions
• Authentication
• Access logs
• Approval workflows
• Administrative controls
• Data protection and backup mechanisms

No online system can guarantee absolute security. Users and organizations are responsible for maintaining secure passwords, appropriate permissions, and proper internal security practices.

Some SOREX services require a paid subscription

Subscription fees, billing periods, user limits, modules, and other commercial terms will be communicated during subscription or purchase.

Failure to make required payments may result in limitation, suspension, or termination of applicable services, subject to the organization's subscription terms.

SOREX may integrate with or provide access to third-party services, software, hardware, payment providers, communication services, cloud infrastructure, or other technologies.

Third-party services may be governed by their own terms and privacy policies. Techxon Innovation Ltd. is not responsible for third-party services outside its reasonable control.

SOREX, including its software, interface, branding, designs, documentation, technology, and underlying systems, is owned by or licensed to Techxon Innovation Ltd.

Except as expressly permitted, you may not:

• Copy or reproduce SOREX
• Reverse engineer the platform.
• Modify or create derivative versions.
• Resell or redistribute the software without authorization
• Remove proprietary notices.
• Use SOREX branding without permission.

Your organization's business data remains owned by the organization or applicable data owner.

You are responsible for ensuring that information, documents, files, messages, and other content uploaded to SOREX are accurate, lawful, and appropriate.

You must not upload content that infringes intellectual-property rights, violates privacy rights, or breaches applicable laws.

Techxon Innovation Ltd. will make reasonable efforts to keep SOREX available and operational

However, temporary interruptions may occur because of:

• Scheduled maintenance
• System upgrades
• Security incidents
• Internet or telecommunications failures
• Force majeure events
• Other circumstances beyond reasonable control

Where practical, users will be notified of significant planned maintenance.

SOREX may send service-related communications, including:

• Account notifications
• Security alerts
• Password or authentication messages
• System updates
• Billing notifications
• Administrative announcements
• Support communications

Users may not be able to opt out of essential service and security communications.

Techxon Innovation Ltd. may suspend or terminate access where:

• These Terms are materially violated.
• The account is used for unlawful or harmful activities.
• There is a significant security risk.
• Required subscription payments remain unpaid
• Continued access could compromise SOREX or other users.

Organizations may terminate their subscription in accordance with their applicable commercial agreement.

SOREX is provided as a business management and technology platform. While Techxon Innovation Ltd. strives for accuracy, reliability, and availability, we do not guarantee that the platform will always be uninterrupted, error-free, or suitable for every particular business requirement.

SOREX should not be considered a substitute for professional legal, financial, accounting, tax, human-resources, or other professional advice.

To the maximum extent permitted by applicable law, Techxon Innovation Ltd. will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of SOREX

Any liability that cannot legally be excluded will be limited to the extent permitted by applicable law and any applicable commercial agreement.

Techxon Innovation Ltd. may update these Terms from time to time to reflect changes in the platform, services, technology, or applicable requirements.

Updated Terms will be made available through SOREX or other appropriate communication channels. Continued use of SOREX after the effective date of an update constitutes acceptance of the revised Terms, where permitted by law.

These Terms shall be governed by and interpreted in accordance with the applicable laws of the Federal Republic of Nigeria, unless otherwise provided in a specific written agreement between Techxon Innovation Ltd. and the customer.
